D20 Market Place Terms of Use?

This is the D20 Market Place Terms of Use Policy. This policy governs your use of this site, and the products you  place on this site. This policy was last updated on December 19, 2024. You are expected to and encouraged to review this policy periodically to ensure not changes have been made to it, and you are in agreement with it. Only the latest version will be legally binding, and we have the right to make changes when needed without notice.

We also are not here to enforce the policies of other sites. We do not look at, research or monitor the social, political and or other social media accounts of sellers on this platform. We do not ban / remove or censor sellers or members on this site based on complaints from people based on a members actions on other sites or locations.

Sellers and publishers are responsible for accurately listing their items, and buyers are responsible for reading the description of items before making a purchase. All sales are binding. The seller and or publisher is obligated to ship the order, transfer the item, or otherwise complete the transaction with the buyer in a prompt manner, unless there is an exceptional circumstance, such as: (a) the buyer fails to meet the terms of the seller's listing (such as payment method), or (b) the seller cannot authenticate the buyer's identity. The buyer is obligated to deliver appropriate payment for items purchased, unless there is an exceptional circumstance. Failure to do such can result in the termination of a sellers / publishers or buyers account.

D20 Market Place acts as a venue to allow users who comply with D20 Market Place's policies to offer, sell and buy certain goods. D20 Market Place is not directly involved in the transaction between buyers and sellers. As a result, D20 Market Place has no control over the quality, safety, morality or legality of any aspect of the items listed, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items. D20 Market Place does not pre-screen users (except for services that require an application) or the content or information provided by users. D20 Market Place cannot ensure that a buyer or seller will actually complete a transaction.

Consequently, D20 Market Place does not transfer legal ownership of items from the seller to the buyer. D20 Market Place cannot guarantee the true identity, age, and nationality of a user. D20 Market Place encourages you to communicate directly with potential transaction partners through the tools available on the App.

You agree that D20 Market Place is a venue and as such D20 Market Place is not responsible or liable for any content, for example, data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links posted by you, other users, or outside parties on D20 Market Place. You use D20 Market Place Marketplace at your own risk.

1.0 General Terms?

You agree that this website is for the sale and purchase of games and game type products only. All games, game products, artwork and other things are allowed to be sold by you as long you are the creator or have the Rights to sell such. As an example.

  • You are the publisher of a game creator, and per your legal agreement with that creator you are allowed to sell their games on other platforms.
  • You are a creator or artist and have the full rights to sell your own game, artwork or game product.
  • You are the legal representative of the Estate of an artist, game creator etc and have legal Right to sell such.
  • You have some other legal Right to post for sale and sell such item.

2.0 What you can publish on D20 Market Place:

  • You agree you will only publish / sell new games and game, game industry related products.
  • Your products will be games, such as RPG's, Modules, Artwork and only products related to games and publishers for games.
  • You can publish games and game content that is considered Adult, Gonzo etc. We just require that if the content is such that you place a simple warning on the content that it has adult material in it.
  • Except for the provision in 3.0 below regarding the listing of websites outside of this site. You may post to your social medai accounts. However you may not post to a Group or page that sells items.

3.0 You agree to NOT upload, post or list for sale or free the following or do any of the following:

  • Content that defamatory, trade libelous, unlawfully threatening, unlawfully harassing, impersonate or intimidate any person (including D20 Market Place staff or other users), or falsely state or otherwise misrepresent your affiliation with any person, or company through for example, the use of similar email address, nicknames, or creation of false account(s) or any other method or device.
  • You may not post links to any other site in any listing, including your own shop, other online shops or your business if said business has an online store.
  • Used games and products.
  • Content that is misleading or not what you say it is.
  • Your content will not infringe, misappropriate or violate any third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable laws or regulations in the United States.
  • Content that is designed to exploit children, women, or have any blatant racist, bigoted or content purposely designed to harm others.
  • Content that violates anyone else's copyrights, patents, trademarks, and trade secrets or other intellectual Properties.
  • Malicious code.
  • Code designed to phish or install code onto others computers or devices.
  • Use any robot, spider, crawler, scraper, or other automated means or interface not provided or authorized by us to access any content on this site.
  • AI crawlers, code extractors or other AI based content is we deem malicious.
  • Content or actions that Violate this Agreement, and any policy or community guidelines, or any applicable law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising)
  • Products that are pornographic. If you place for sale adult content, then terms under 2.5 below could take effect on your product.
  • Products that are racist, bigoted, hate speech, or designed to harm, target anyone who is within a protected class.
  • Code that is designed to circumvent or attempt to circumvent any filtering, security measures, or other features on this site.

3.5 We may display age, comfort and content ratings for the products sold on this site. However, we cannot guarantee that digital content ratings will always be accurate, nor can we promise that you will not find some material harmful, offensive, indecent or objectionable. We do not remove content because a person does not like it. We only remove content that openly violates our terms of use within this policy.

4.0 License for content?

We need certain permissions from you to provide the games and other products for sale and display. These include legal permissions (known as a “license”) to use content to promote such. You give us a revocable license to display and market as we deem fit games and game products that you place for sale on out site. Specifically, to the extent permitted by applicable laws, when you create, share, post, or upload content onto this site. If you decide to remove your content from this site, you agree and acknowledge that your content will be removed from our site in what we consider a timely manner. This is due to the way that we store information on our servers. To revoke out Right to have your content on our site all you have to do is remove it.

5.0 Sales and denial of sales?

You agree that you will not discriminate by refusing to sell to anyone based on their sex, race, social standing or sexual orientation, pronoun use etc. D20 Market Place operates on what we call a “Digital Free Market Principle”, and that is basically that everyone deserves to purchase games that they want to and enjoy. 

6.0 Warnings and Disclaimers:

6.1 IN SOME JURISDICTIONS THE LIABILITY PROVISIONS INCLUDED IN THIS SECTION ARE PROHIBITED, INCLUDING PROVISIONS THAT EXCLUDE OR LIMIT IMPLIED GUARANTEES OR WARRANTIES. NO PROVISIONS IN THIS SECTION WILL THEREFORE BE BINDING ON YOU IN CIRCUMSTANCES WHERE THEY ARE PROHIBITED IN THE JURISDICTION IN WHICH YOU ARE RESIDENT. FOR THE AVOIDANCE OF DOUBT, NOTHING IN THIS CLAUSE AFFECTS ANY RIGHTS OR REMEDIES THAT YOU MAY HAVE WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

6.2 General Warranties: We work hard to provide the best products and services we can and to specify clear guidelines for everyone who uses them. However, to the maximum extent permitted by law, our services are provided “as is,” and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people place for sale, and we are not responsible for their actions or conduct (whether online or offline) or any content they place for sale (including offensive, inappropriate, obscene, and other objectionable content).

6.3 Indemnification: To the maximum extent permitted by law, you agree to defend (at our request), indemnify, and hold harmless D20 Market Place and its affiliates, and their independent contractors and service providers, and each of their respective directors, officers, employees, and agents (collectively, “Indemnified Parties”) from and against all claims, liabilities, damages, losses, and expenses (including, but not limited to, reasonable attorneys’ fees and costs) arising out of or in any way connected with (a) your violation of these Terms, or any other applicable terms, policies, warnings, or instructions; (b) your violation of any applicable law or any rights of any third party; and (c) any content, including User Content, you provide, upload, or transmit via the site, except to the extent the claims, liabilities, damages, losses and expenses are caused by an Indemnified Parties’ negligence or fraud.

6.4 Liability Limitations: The Indemnified Parties liability shall be limited to the fullest extent permitted by applicable law, and none of the Indemnified Parties will be liable to you for (i) losses that are not caused by our breach of these Terms or otherwise by our acts, (ii) losses that are not reasonably foreseeable by you and us at the time of entering into these Terms, and (iii) losses caused by events beyond our reasonable control. To the fullest extent permitted by applicable law, our aggregate liability and that of any of the Indemnified Parties (if applicable) arising out of or relating to these Terms or the Games will not exceed the greater of $50 or the amount you have paid for the Games and or placed for sale on this site in the past six (6) months. Notwithstanding the foregoing, the limits on liability set out in this Section do not apply in respect of D20 Market Place Parties’ liability arising from their gross negligence, fraud or willful misconduct.

6.5 Dispute Governing Body: If you enter into a dispute with D20 Market Place you agree that binding Arbitration Mediation will be be the only legal way that disputes shall be worked out. You also agree that the party implementing the request for Arbitration Mediation will be responsible for all costs, fees of such. You further agree that before you can file for such you must do the following, failure to adhere to such means you waive all Rights under the terms of this term.

  1. You must first send us in writing the exact nature of the issue you have.
  2. If the issue is a IP / Trademark / Copyright or similar violation you must provide us with the specific seller name, the link to the location on the site of the infringed item(s).
  3. You agree that we will have 5 business days to investigate and if need be remove such.

7.0 DMCA: If you believe that one of our users is, through the use of our Services, unlawfully infringing the copyright(s), trademark(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our designated Copyright Agent:

  • Your physical or electronic signature;
  • Identification of the copyrighted work(s) that you claim to have been infringed;
  • Identification of the material on our Services that you claim is infringing and that you request us to remove;
  • Sufficient information to permit us to locate such material;
  • Your address, telephone number, and e-mail address;
  • A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.

Please note that, pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact (falsities) in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.
